1. General Provisions
1.1. This Regulation establishes the internal procedures governing membership, evaluation of candidates, governance principles, rights and obligations of members, and administrative procedures of the Association of Business Professionals (EMEA) (hereinafter — “the Association”).
1.2. This Regulation is adopted of the Association and shall serve as an internal normative act regulating operational governance and membership administration.
1.3. The Association is an international professional organization that brings together distinguished business leaders, entrepreneurs, innovators, and executives whose professional activities contribute to the development of business excellence, innovation, and cross-regional collaboration across Europe, the Middle East, and Africa.
1.4. The Association operates in accordance with the following principles:
- professional excellence
- ethical leadership
- transparency of governance
- non-discrimination
- voluntary participation
- international cooperation
- compliance with applicable laws and international governance standards.
1.5. The provisions of this Regulation apply to:
- Members of the Association
- Candidates for membership
- Governing bodies of the Association
- Experts involved in evaluation procedures
- Administrative officers of the Association.
2. Mission and Strategic Purpose2.1. The mission of the Association is to unite highly qualified professionals whose activities contribute to innovation, entrepreneurship, and strategic business development within the EMEA region.
2.2. The Association seeks to foster a professional community committed to excellence, innovation, responsible leadership, and international collaboration.
2.3. The strategic objectives of the Association include:
a) promotion of high standards of strategic management and corporate leadership;
b) support for digital transformation and innovation-driven business models;
c) development of international professional networks across the EMEA region;
d) recognition of outstanding professional achievements;
e) promotion of responsible entrepreneurship and sustainable economic growth;
f) development and dissemination of best practices in business governance.
2.4. The Association also serves as a platform for:
- expert collaboration
- strategic dialogue
- professional knowledge exchange
- international networking.
3. Legal and Organizational Status3.1. The Association operates as a professional international organization formed to unite leading business professionals across Europe, the Middle East, and Africa.
3.2. The Association acts independently and performs its activities in accordance with:
- its Charter
- internal regulations
- internationally recognized principles of NGO governance.
3.3. The governing structure of the Association includes:
- The President
- The Board
- The Secretary
- Advisory experts or evaluation participants.
3.4. The governing bodies exercise authority within the limits defined by the Charter and this Regulation.
4. Categories of Membership4.1. The Association may establish several categories of membership to reflect different levels of professional involvement.
4.2. Membership categories may include:
- Basic Member
- Professional Member
- Fellow Member
4.3. Membership categories may differ in relation to:
- access to professional resources
- participation in events
- involvement in governance activities
- professional development programs.
4.4. The Board may establish additional membership categories when necessary.
5. Eligibility Criteria5.1. Membership is granted exclusively to individuals who demonstrate significant professional achievements and leadership capacity.
5.2. Candidates must demonstrate:
a) substantial professional experience in business, entrepreneurship, strategic management, innovation, or related fields;
b) leadership roles at executive, founder, or strategic advisory level;
c) measurable impact within their industry or business ecosystem;
d) cross-border professional engagement or international business activity;
e) commitment to ethical business practices and responsible governance.
5.3. Evidence of professional recognition may include:
- leadership positions in companies or institutions
- industry awards or recognitions
- publications, research, or expert commentary
- conference participation or speaking engagements
- participation in international projects
- advisory or consulting activity.
5.4. Meeting eligibility criteria does not automatically guarantee admission to membership.
Membership is granted only following formal evaluation and approval procedures.
6. Principles of Selective Membership6.1. The Association maintains a selective admission policy.
6.2. Membership is not granted through open enrollment.
6.3. Candidates may be nominated through:
- recommendation by existing members
- recommendation by recognized industry stakeholders
- formal application submitted for consideration.
6.4. The Association applies a multi-stage vetting procedure designed to ensure that membership reflects genuine professional distinction.
7. Membership Evaluation Procedure7.1. The admission procedure consists of several stages:
1 — Nomination or Application
2 — Preliminary Administrative Review
3 — Expert Evaluation
4 — Board Decision
7.2. During the evaluation process the Association reviews:
- professional background
- documented achievements
- strategic impact of the candidate’s work
- compliance with ethical standards.
7.3. Independent experts or senior members may be involved in the evaluation process.
7.4. All information provided by candidates must be verifiable.
7.5. The evaluation procedure shall be conducted in a confidential manner.
8. Board Decision and Voting8.1. Final decisions regarding membership admission are adopted by the Board of the Association.
8.2. The Board may deliberate during a formal meeting or an online conference.
8.3. A quorum shall be considered achieved when the number of participants satisfies the requirements established by the Charter.
8.4. Voting shall normally be conducted by a simple majority of votes.
8.5. Voting procedures must be documented in official meeting minutes.
8.6. All decisions shall be recorded in the official protocol of the Board meeting.
9. Documentation and Recordkeeping9.1. Following approval of membership, the Secretary shall:
- issue the official confirmation of membership
- update the Membership Register
- archive voting records
- maintain documentation for compliance and audit purposes.
9.2. Official documents issued by the Association may include:
- confirmation letters
- extracts from meeting minutes
- certificates of membership
9.3. Such documents may be used for administrative, regulatory, banking, or institutional purposes.
10. Rights of MembersMembers of the Association have the right to:
a) participate in professional events, forums, and initiatives;
b) access research materials, market insights, and professional resources;
c) engage in networking with other members and strategic partners;
d) contribute to knowledge exchange initiatives;
e) receive recognition for professional achievements within the Association.
11. Responsibilities of MembersMembers of the Association shall:
a) adhere to the principles and values of the Association;
b) maintain high professional and ethical standards;
c) avoid actions that may harm the reputation of the Association;
d) comply with the Charter and internal regulations;
e) support initiatives aimed at strengthening the international professional community.
12. Suspension or Termination of Membership12.1. Membership may be suspended or terminated in the following cases:
- violation of ethical standards;
- actions that damage the reputation of the Association;
- provision of false information during the application process.
12.2. Decisions regarding suspension or termination shall be adopted by the Board.
12.3. The member concerned may be given the opportunity to provide clarification before a final decision is adopted.
13. Governance Transparency13.1. The Association adheres to internationally recognized governance principles, including:
- transparency
- accountability
- fairness
- non-discrimination.
13.2. Governance decisions must be documented through formal meeting minutes and voting records.
13.3. The Association shall maintain internal documentation necessary for compliance, audit, and institutional verification.
14. Confidentiality14.1. Information obtained during the membership evaluation process shall be treated as confidential.
14.2. Personal or professional data provided by candidates shall not be disclosed without legitimate purpose.
14.3. Access to internal evaluation documentation shall be limited to authorized persons.
15. Final Provisions15.1. Amendments to this Regulation may be adopted by resolution of the Board.
15.2. Amendments shall enter into force on the date of approval unless otherwise specified.
15.3. This Regulation serves as the principal internal normative document governing membership procedures within the Association.
15.4. In matters not explicitly regulated by this document, the Association shall be guided by:
- the Charter of the Association
- applicable legal standards
- internationally recognized principles of professional association governance.
